Our client, a premier AmLaw 50 firm, is seeking a driven Mid to Senior-Level Associate Attorney to join its high-performing Debt Finance Practice, with a particular focus on Private Equity and Structured Finance transactions. This is a unique opportunity to advise sophisticated borrowers, lenders, and sponsors on complex asset-based loans, structured financings, securitizations, and warehouse credit facilities. Candidate Profile

  • JD from a top-tier law school with a strong academic record
  • Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly
  • 5-8 years of substantive experience representing borrowers and/or lenders in asset-based loans, structured financings, securitizations, or warehouse loan transactions
  • Transactional experience drafting and negotiating collateral documents, disclosure schedules, loan amendments, and related loan transaction documents
  • Strong project management skills with the ability to manage complex workstreams efficiently and effectively
  • Prior experience at an AmLaw 100 or similarly sophisticated firm required
  • Exceptional analytical, drafting, and communication abilities with a proactive, business-oriented approach
 

 

Key Responsibilities

  • Advise borrowers, lenders, and private equity sponsors on structured and asset-based finance transactions, including securitizations, warehouse facilities, and leveraged finance deals
  • Draft, review, and negotiate key transaction documents, including collateral agreements, loan amendments, and disclosure schedules
  • Manage multiple complex deal workstreams, ensuring alignment with client objectives and timelines
  • Collaborate with attorneys across related practices, including private equity, M&A, and tax, to deliver comprehensive client solutions
  • Provide business-focused guidance to clients navigating financing structures and evolving credit market conditions

  • Competitive Compensation: Annual base salary is expected to start at $365,000+, depending on experience, qualifications, and market factors
