Job description:
Our Client isseeking mid-level and senior-level associates with 3-7 years of experience to join its dynamic M&A practice. The role offers exposure to high-stakes, high-profile deals that shape industries and markets worldwide.
Key Responsibilities
As an associate in this practice, you will:
1. Due Diligence:
o Lead and manage the due diligence process, identifying potential risks, liabilities, and opportunities.
o Coordinate efforts across internal and external teams, ensuring thorough analysis and accurate reporting.
2. Drafting and Negotiation:
o Draft and negotiateancillary agreements, including non-disclosure agreements, term sheets, side letters, and escrow agreements.
o Take a leading role in draftingprimary deal documents, such as stock purchase agreements, asset purchase agreements, and merger agreements.
o Ensure alignment with client objectives and industry best practices.
3. Client Engagement:
o Serve as a primary point of contact for clients, providing strategic guidance and addressing concerns.
o Build and maintain strong client relationships, demonstrating a deep understanding of their businesses and industries.
4. Transaction Management:
o Oversee all aspects of a transaction, from structuring and negotiation to execution and post-closing matters.
o Coordinate with cross-disciplinary teams, including tax, antitrust, regulatory, and employment specialists, to address all facets of a deal.
5. Strategic Advisory:
o Advise clients on market trends, deal structures, and innovative approaches to achieve their objectives.
Qualifications:
Ideal Candidate Profile
The successful candidate will possess:
Experience:
o 3-7 years of substantive M&A experience, ideally at a leading law firm.
o Proven ability to handle complex transactions and lead key work streams independently.
Technical Skills:
o Strong command of due diligence processes and ability to identify material issues.
o Expertise in drafting and negotiating agreements with minimal supervision.
o Familiarity with cross-border transactions and regulatory considerations is a plus.
Professional Skills:
o Excellent communication and interpersonal skills, with the ability to build trust and rapport with clients and colleagues.
o A proactive and solutions-driven approach to challenges.
Credentials:
o Admission to the New York Bar.
o Outstanding academic record from a top-tier law school.
