Key Responsibilities
- Transactional Work: Represent issuers, underwriters, and placement agents in securities and capital markets transactions, including matters under the Securities Act of 1933.
- Regulatory Compliance: Provide guidance to public companies regarding compliance with the Securities Exchange Act of 1934, including filings, disclosures, and corporate governance requirements.
- Client Service: Work directly with clients to address their complex legal needs, providing clear and practical solutions in a timely manner.
- Team Collaboration: Collaborate effectively with colleagues across the firm’s corporate practice to deliver seamless legal services on high-stakes matters.
- Professional Development: Commit to ongoing professional development, staying updated on changes in securities regulations and capital markets trends.
Qualifications
The ideal candidate will have the following qualifications:
- Education: JD or LLM from an ABA-accredited law school.
- Bar Admission: Admission or eligibility for admission in New York.

Experience: A minimum of 3 years in securities and capital markets, including:
- Representing issuers and underwriters/placement agents in Securities Act (’33 Act) transactions.
- Advising public companies on Securities Exchange Act (’34 Act) filings, compliance, and corporate governance matters.
