A top-10 AmLaw firm is seeking a talented Associate Attorney to join its Private Equity Practice Group in Boston. This is an excellent opportunity for an attorney early in their career who is interested in handling sophisticated transactional work in a flexible, non-partnership track position.

 


 

Candidate Profile

  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in Massachussetts, in good standing.
  • 1–3 years of substantive transactional law experience.
  • Transactional Knowledge: Experience conducting mergers and acquisitions (M&A) diligence and supporting leveraged buyouts.
  • AmLaw or SEC Background: Prior experience at a large law firm or regulatory agency (SEC) strongly preferred.
  • Comfortable working directly with clients and providing representation in connection with daily matters, including equity grants and corporate governance.
  • Highly capable of managing multiple matters simultaneously in a fast-paced environment.
  • Soft Skills: Excellent analytical and writing skills, strong business acumen, attention to detail, and the ability to work independently as well as collaboratively.
 

 

Key Responsibilities 

  • Conduct diligence on M&A transactions and provide support throughout all aspects of leveraged buy-out transactions.

  • Advise clients on day-to-day corporate matters and corporate governance issues.

  • Client Interaction: Maintain regular communication with clients and play a key role in managing deal timelines and expectations.

  • Cross-Practice Collaboration: Work closely with attorneys across practices including tax, employment, and finance to provide comprehensive legal support.

Compensation & Benefits

  • Competitive Compensation: Annual base salary is expected to range from $150,000 – $378,685, depending on experience, qualifications, and market factors. Discretionary bonus opportunities are also available.
