Our client, a global AmLaw 50 firm, is seeking a talented Associate Attorney to join its nationally recognized Private Equity Practice Group. This is an exceptional opportunity to work on sophisticated, market-leading transactions for top-tier private equity sponsors and their portfolio companies across diverse industries. The role offers a high degree of responsibility, client interaction, and cross-border exposure within a collaborative and high-performance environment.
Candidate Profile
- JD from a top-tier law school with a strong academic record
- Active Bar Admission in New York, in good standing
- 4–6 years of substantive experience in private equity transactions
- Transactional Expertise: Significant experience with mergers and acquisitions (M&A), leveraged buyouts, recapitalizations, and portfolio company operations
- Deal Leadership: Proven ability to lead deal teams and manage complex transactions from inception to closing
- Prior AmLaw 100 or similarly sophisticated law firm experience preferred
- Strong drafting, negotiation, and organizational skills
- Excellent communication and interpersonal skills, with the ability to develop strong client relationships
Key Responsibilities
- Represent private equity sponsors and portfolio companies in domestic and cross-border M&A, leveraged buyouts, and strategic transactions
- Lead and manage all phases of complex transactions, including structuring, negotiation, documentation, and closing
- Draft and negotiate purchase agreements, equity documents, and ancillary agreements
- Collaborate with colleagues across tax, finance, regulatory, and other practice groups to provide integrated legal solutions
- Serve as a primary point of contact for clients, offering strategic guidance and responsive counsel

Compensation & Benefits
- Competitive Salary: $310,000+, commensurate with experience and class year
