§ Duties:

The Strategic M&A and Private Equity Architect will be a central figure in the execution of high-stakes domestic and international transactions. This role demands a high level of technical proficiency and the ability to manage multifaceted deal workstreams from inception to close.

Core responsibilities include:

⨖ Leading the structuring and negotiation of complex Leveraged Buyouts (LBOs), growth capital investments, and strategic business combinations.

⨖ Drafting and refining bespoke definitive agreements, including Stock and Asset Purchase Agreements, Merger Agreements, and sophisticated Shareholders’ Agreements.

⨖ Orchestrating comprehensive legal and commercial due diligence across various jurisdictions to identify and mitigate transactional risks.

⨖ Serving as a primary strategic advisor to private equity sponsors and corporate boards on fiduciary duties and regulatory compliance.

⨖ Managing the seamless integration of specialist counsel in areas such as tax, IP, and regulatory affairs to ensure holistic deal execution.

⨖ Supervising and mentoring junior associates to maintain the highest standards of work product under accelerated market timelines.

§ Qualifications:

⨖ Juris Doctor (J.D.) from an ABA-accredited law school with an outstanding academic record.

⨖ Active Bar Membership in the State of New York in good standing.

⨖ Four (4) to Six (6) Years of substantive, high-level M&A experience at a leading national or international law firm.

⨖ Demonstrated expertise in private equity transactions, specifically involving leveraged buyouts and growth equity investments.

⨖ Proven capacity to manage multiple workstreams and interface directly with sophisticated institutional clients and financial sponsors.

§ Skills:

⨖ Prior experience within an AmLaw 100 firm environment is strongly preferred.

⨖ Advanced proficiency in corporate governance and federal securities law compliance.

⨖ Exceptional drafting skills with the ability to navigate complex equity waterfalls and restrictive covenants.

⨖ Strong interpersonal and communication skills, with a track record of effective collaboration in a fast-paced, high-pressure environment.
